Notice Regarding Acquisition of All Shares of Naigai Transline Co., Ltd.

IA Partners Inc. (Representative Director: Hiroshi Murakami, hereinafter referred to as “IAP”) is pleased to announce that IAPF2 Co., Ltd. (the “Offeror”), an indirect 100% subsidiary of SH2, L.P., a Cayman-registered Limited Partnership for which IAP provides services, etc., has completed the acquisition of all shares of Naigai Trans Line Ltd. (hereinafter referred to as “Naigai Trans Line”) as of July 22, 2025, following the share tender offer (TOB) initiated on March 10, 2025, and subsequent procedures. Please note that IA Partners No. 1 Investment Limited Liability Partnership, etc., which IAP manages or provides services to, will be the principal investors in SH2, L.P.
IAP focuses its investment activities on supporting large and mid-sized companies, as well as their group companies and business divisions, through capital investments and carve-out support, with the aim of strengthening their management foundations and unlocking growth potential through M&A and other strategies. Going forward, we will work closely with the management of Naigai Trans Line to leverage its robust operations and strong customer base in international maritime consolidated cargo transportation (NVOCC), which it has cultivated over many years, and promote DX, fundamental business reforms, optimization of human resources and organizational structures including a review of people management, and advanced business management based on KPIs. We will also support Naigai Trans Line to expand their business areas into aviation, warehousing, customs clearance, and other fields to evolve into a comprehensive logistics company/ international comprehensive freight forwarder. The acquisition of all shares is not merely a capital injection, but a commitment to the sustainable enhancement of corporate value beyond the investment period, and the first step toward realizing a transformation into an international logistics company that will be chosen by the next generation.
